Abstract: The role of Corporate Entrepreneurs and Intrapreneurs in the Corporate Governance has received much attention in the past two decades especially since the Indian economy started liberalising and the discussion on it has received a Philip during the nineties as the economic reforms in India have accelerated. Corporate Governance is essentially a subject, through multidisciplinary, concerning the code of conduct on the part of those who are at the helm of affairs in corporates, hence deals with their value systems. In India the concept of corporate governance is yet in evolutionary stage. An attempt is made in this paper to establish. The linkages of corporate governance with the role of entrepreneurs / intrapreneurs and their development as the leaders of the society sharing the national concerns of socio economic development. In that context development of entrepreneurs / intrapreneurs before start of their career starts and later within the organisation becomes a concern of the human resources developmental issue. Most of the corporate governance drawbacks .directly can be attributed to the entrepreneurs/intrapreneurs placing their self-interest above the community interests and employment of unethical methods in appropriating greater share than is due at the cost of other stakeholders.
